Memorandum of Association

From 1 October 2009 the Memorandum of Association changed and will no longer requires all the information as previously and is now a document that simply states that the subscribers with to incorporate the company.

Previously the memorandum of association included:

• the company's name;
• where the company is domiciled;
• the objects of the company;
• the liability of the members;
• defines the authorised share capital, class & the value of the shares; and
• if the company is a public company.

For companies incorporated prior to 1 October 2009 these clauses are now deemed to be part of the articles of association.
