Company Limited by Guarantee

Companies which are limited by guarantee are generally non-profit organisations seeking a legal personality. This type of company does not have shareholders, but members who act as guarantors (they are a few companies limited by guarantee that still have a share capital but these types may no longer be incorporation). If a company is limited by guarantee it cannot distribute its profits but may re-invest them into the company. Companies limited by guarantee are often used as a charity or to bring structure to an organisation such as a club or society. In the event of a company limited by guarantee going into liquidation (solvent or insolvent) the owners will be responsible for its debts by a pre-determined amount.
